Services

The Full Monetisation Stack

A vertically integrated service offering that covers the complete lifecycle of a fibre asset — from investor program management through to community social services.

Program Manage Investor Projects

Footprint planning — desktop analysis, site surveys and risk assessment of practical conditions, competitor landscape and commercial returns. Business cases are prepared for the Investment Committee, capital allocated, and projects reported on through to EBITDA targets.

EPC — Plan, Procure & Construct

Turnkey site acquisition and telecoms construction. Wayleave & RoW, QGIS/CAD design, OSP/ISP build, POP establishment and 24/7 SLA maintenance to ITU/TIA/ISO standards. The program manager oversees all phases and enforces standards through contract execution.

Commission & Deploy — Network Engineering

Network engineering sets standards and specifications for the optical and equipment network. Sources and solicit optical material, equipment suppliers and architecture designs appropriate for the market. Governs onboarding of approved inventory for optical elements, equipment and suppliers.

Manage & Maintain — Network Operations

24/7 monitoring from subscriber ONT through POP to data centre. Custodians of quality assurance across all network layers. Full ticketing spectrum from subscriber through delivery chain. Business operations including finance, marketing, sales, compliance, legal and governance.

Billing & Settlement

Catalogue and pricing tuned to subscriber behaviour and affordability. Integrated order-to-cash: billing, settlement and delivery — fully automated for seamless subscriber experience. Settlement deposits directly to infrastructure owner's bank account. Time-based packages from 5 minutes to monthly family sessions for up to 6 devices.

Community — Local Heroes Model

All building, maintenance, sales and support sourced from within the served community through local leadership structures. Creates a sense of ownership, reduces MTTR and vandalism risk, and drives organic uptake. Local Heroes carry the brand trust and longevity into the market.

Social & Auxiliary Services

Services deployed on the fibre platform beyond connectivity — medical advisory via video conferencing, education and training, banking and legal access, community communication, advertisement earnings, solar energy integration and more. Each service stands by its own commercial merit.

AI & Automation

No-code/low-code n8n orchestration. WhatsApp & web AI chatbots, automated document workflows, as-built OCR ingestion and consumer help flows — scaling support without scaling headcount. Continuous subscriber behaviour analysis detects anomalies and identifies secondary market opportunities.

Midbase OSS/BSS Platform — The Operational Brain

Integrated ERP, MIS, CRM, WHS, Inventory and Workflow in a single system of record. Coordinates order-to-activate provisioning, real-time telemetry, billing, ARMs and network analytics — bridging physical assets to revenue, and interfacing directly with equipment firmware and operational systems. Every other pillar on this page reports through it.

Investment Lifecycle

From Identification to IRR

Every asset moves through a disciplined stage-gate model with rolling DCF re-underwrites at each milestone. The Investment Committee governs each decision point.

Stage 1

Asset Identification

Footprint planning, community assessment, risk analysis and investment decision — the Why, What & Where.

Stage 2

Build (EPC)

Wayleave, civil design, OSP construction, POP fitout and formal as-built sign-off. All to ITU/TIA/ISO standards.

Stage 3

Commission

Live equipment deployment, Midbase provisioning, RADIUS auth, leadership engagement and portal activation.

Stage 4

Monetise

Captive portal live. Hybrid prepaid/postpaid packages, settlement agents, payment rails and uptake ramp.

Stage 5

EBITDA & IRR

EBITDA target at 18–20 months. 7–10 year holding with structured exit optionality and DCF reforecasts.

Stakeholders

Built Around Every Participant

Six distinct stakeholder groups — each with a specific role and solution built around their needs and the broader longevity of the network.

Investors

Anchor & Participating Investors

The anchor investor creates the governance framework and invites participating or community investors. Investment decision covers WHY, WHAT and WHERE — commercial and/or social outcomes with predictable cash flows, board-level involvement and disciplined returns across a 7–10 year holding period.

InfraCo

Infrastructure Owners (FNOs)

Already own fibre or equipment that isn't converting to revenue? The InfraCo structure lets you keep the asset — and the compliance titles, wayleaves, ICASA licence and access agreements that come with it — while OpEx takes on planning, operations and monetisation. Operates under one of three models: contracting a managing agent, listing as a REIT, or vertical integration. Model 1 & 2 better facilitate know-how transfer and longevity.

Investment Manager

Investment Manager

Acts on behalf of investors to optimise returns across projects. Sources investors, formulates strategy, manages the InfraCo mandate, advises on feasibility, maintains statutory compliance and provides full financial reporting — creating segregation of duty between InfraCo and Managing Agent.

Managing Agent

Managing Agent (OpEx)

Balances investor and subscriber interests — securing IRR while delivering service quality and longevity. Deploys all services: optical planning, EPC, commissioning, operations, billing, social services and community management. Accountability stays with OpEx whether services are onboarded or insourced.

Subscribers

Subscribers & Local Community

The subscriber is the reason the infrastructure exists. The market is commoditised and demand-driven — spending preferences on demand, in quantities that leave little going to waste. Subscribers become the de facto owners of the network, creating the sense of ownership that protects the physical infrastructure.

Local Heroes

Local Leadership & Labour

Leadership in the emerging market has authority of influence that shapes access and preferences. Infrastructure deployment needs local endorsement to succeed and maintain into the future. Local labour — aligned to leadership "service sites" — builds, maintains and supports the network, creating community ownership and earning.

Settlement

Settlement Agents

The transactional currency in the emerging market is cash-based, converting to vouchers used for cashless purchasing. Settlement agents convert hard cash into digital tradable currency, routing it through financial systems into designated bank accounts — a pivotal role for transacting in the emerging market.

Social

Social Service Sponsors

Any capability beyond connectivity — advertisements, medical assistance, education, banking, legal, recruitment, security and more. Each service must have a vested interest sponsor and stand commercially by its own merit. Social services cut across all infrastructure under the managing agent, creating longevity through community ownership.

For Investors

Disciplined Returns. Transparent Governance.

OpEx structures investments — whether you're deploying new capital or contributing existing infrastructure — for committed returns, board-level involvement and uninterrupted operations, even through asset or executive transitions.

Traditional approach: one fixed location equals one connection point; stepping outside means disconnected, at a capped speed
OpEx's approach: many locations means the connection follows the subscriber, uncapped, through a local agent on a protected, always-on network

Traditional fibre sells one line to one address, and coverage stops at the wall. Prepaid, per-device access follows the subscriber across the footprint — every home the fibre passes can be served, not only the banked and credit-scored.

Why Prepaid, Per-Device Changes the Investment Case

Fibre in the underserved market doesn't fail on construction cost — it fails on the commercial model. Traditional operators require a bank account, a credit score, a debit order and a contract from households that have none of these, capping take-up on an asset that's already been built and paid for. Prepaid, per-device access removes that barrier entirely: the deployment is the same, but who can be served isn't. Stepping away from the network is dormancy, not churn — the line stays live and ready.

Management shareholding option

Rolling DCF Re-underwrites

Stage-gate reforecasts at post-build, predetermined recurring reviews to ensure the investment thesis is continuously validated — not just set at entry. The Investment Committee governs every major decision point.

Board-Level Shareholder Involvement

Investors are invited to board seats with full shareholder participation. InfraCo can take a 5% management shareholding in OpEx for board-level oversight of strategy and management. A risk mitigation mechanism with a structured buyback exit.

Operational Continuity Guarantee

Shared services, AI-driven automation and community staffing prevent cost spirals and ensure network continuity — even during investor transitions or executive changes. The Managing Agent accountability never breaks.

Predictable Cash Flows

Subscription-grade consumer revenue combined with hybrid prepaid/postpaid monetisation across multiple payment rails. Settlement deposits directly to the infrastructure owner's bank account with automated bank reconciliation — cash realised immediately.

Flexible InfraCo Structures

Infrastructure can be arranged across single or multiple entities to facilitate different shareholding groups, mitigate image risk, optimise liquidity events, create barrier-to-entry protection and target performance measures to local conditions.

Government & BEE Alignment

Investment in the emerging FTTH market aligns with government strategy and can potentially draw on support from SOEs and grant funds available through BBI. Social and community impact frameworks create additional stakeholder alignment and network protection.

Bring Your Existing Infrastructure

Already hold optical or equipment assets that aren't earning their keep? Hand over operations to OpEx and keep ownership — we plan, commission, bill and maintain, while settlement flows directly to your account.

Converting to the per-device model takes targeted capital against an asset that already exists — a fraction of a greenfield build, not zero, and not a build from the ground up. Whether it's a dormant site, an under-utilised FNO footprint, or equipment sitting idle between contracts, the same monetisation stack that runs Tembisa and Soweto today can be pointed at what you've already built.

Common Questions

Ask If Anything Is Unclear

The shortlist of what investors and infrastructure owners ask first. Anything not covered here — raise it directly in the form below.

What's the typical investment structure?

An anchor investor establishes the governance framework and invites participating or community investors alongside them. Holding periods run 7–10 years with structured exit optionality, and the Investment Committee governs every major decision point along the way.

I already own fibre or equipment infrastructure — do I lose control if I bring it in?

No. The InfraCo structure keeps ownership — and the compliance titles, wayleaves, ICASA licence and access agreements — with you. OpEx takes on planning, operations and monetisation under one of three models: contracting a managing agent, listing as a REIT, or vertical integration.

How quickly do assets reach positive EBITDA?

Target is 18–20 months from commissioning, with rolling DCF re-underwrites at post-build and predetermined recurring reviews so the investment thesis stays validated rather than fixed at entry. The Investment Committee governs every major decision point.

How is regulatory and compliance risk handled?

ICASA licensing, RICA, POPIA and CPA compliance sit inside the Technical Governance function, alongside wayleave management and full statutory reporting — the same team that handles business establishment end to end.

What happens if an investor exits or OpEx's mandate changes?

Shared services, AI-driven automation and community staffing are structured specifically to prevent cost spirals and keep the network running through investor or executive transitions — Managing Agent accountability doesn't break with a change at the top.

What's the minimum ticket size?

Ticket sizes are structured per project and per stakeholder mandate rather than fixed. Get in touch below and we'll walk you through what fits.
